For our app to work correctly (i.e. to be great), we really need to integrate and license another company's technology. This other company is willing to build an SDK (or something similar) so we can integrate (we'll pay for the integration, as well as a per-use fee with monthly minimums once things get going).
This particular technology (and their IP) will prove to be very important to our product, as well as any other product attempting to do something similar (of which there aren't currently many, if any). I believe that there is a market to apply their technology elsewhere, which would almost certainly end up creating competitors to my startup. I would LOVE to have exclusivity with this other company, but I have no leverage. In other words, I'm not sure they'd thought of licensing their technology before, and now they would have no reason to shut off other potential paying customers to grant me exclusivity.
My question is, to what lengths would you recommend that I go to attempt to secure exclusivity? I've considered offering this company some equity in my startup in exchange for exclusivity. Ideally, it would be great to one day buy them and own the technology outright, but I'm not currently in a position to do that.
